Framework Agreement on the ASEAN Seafood Federation

Preamble

WE, Fresh & Frozen Seafood Association of the Philippines, Malaysian Frozen Food Processors Association, Myanmar
Fishery Products Processors & Exporters Association, Indonesian Frozen Seafood Association, Thai Frozen Foods
Association and Vietnam Association of Seafood Exporters and Producers, Members of the ASEAN Seafood Federation
(hereinafter referred collectively as “ASF” and individually as “Founding Member”)

NOTING that ASEAN Economic Community (AEC) declared in Bali Summit in October 2003 provides that ASEAN Member
States shall explore further measures on border and non-border areas of cooperation to supplement and complement
liberalization of trade.

RECOGNISING that intra-ASEAN economic cooperation will secure a liberal trading environment for trade in goods which
would strengthen and enhance trade in goods among ASEAN Member States;

DESIRING to create economic synergy and strengthen cooperation among the Members; lower costs; increase intra and
extra regional trade and investment; increase economic efficiency; create a larger market with greater opportunities and
larger economies of scale for the businesses of the Members; and enhance the attractiveness of the Members to capital
and talent;

Have agreed as follows:

ARTICLE 1
Objectives
The objectives of this Agreement are:


1.1 To promote closer cooperation in seafood industry among the Members as well as to establish a forum for Members
to freely and openly exchange views on matters of mutual interest.

1.2 To further integrate the ASEAN region’s economies and achieve higher levels of economic dynamism as espoused in
the ASEAN Economic Community Blueprint.


ARTICLE 2
Membership


2.1 Membership of ASF is open to associations within ASEAN region who are engaged in the production or marketing of
seafood and other organizations as may be approved by the Founding Members of the ASF.

2.2 Members to the ASF shall be categorized into 2 types as follows:
     (1) Founding Members: Fresh & Frozen Seafood Association of the Philippines, Malaysian Frozen Food Processors
Association, Myanmar Fishery Products Processors & Exporters Association, Indonesian Frozen Seafood Association, Thai
Frozen Foods Association and Vietnam Association of Seafood Exporters and Producers.
     (2) Regular Members: Related food associations/federations endorsed by the Founding Members.


ARTICLE 3
Scope of Cooperation


The scope of cooperation shall cover the following areas:

3.1 Cooperation on Production and Technology

3.2 Cooperation on Food Safety and Quality Standards
     3.2.1 Quality Standards
     3.2.2 Food Safety Assurance and Traceability
     3.2.3 Inspection and Certification
     3.2.4 Lebeling and Packaging

3.3 Cooperation on Production Inputs Securing

3.4 Cooperation on Marketing

3.5 Cooperation on the Investment in ASEAN region

3.6 Cooperation on Logistics

Members shall be the coordinators for the working groups as follows:

• Member from Vietnam shall be the coordinator for Production and Technology;

• Member from Thailand shall be the coordinator for Marketing and Food Safety and Quality Standards;

• Member from Indonesia, Myanmar and Philippines shall be the coordinators for Production Inputs Securing; and

• Member from Malaysia shall be the coordinator for Logistics.


ARTICLE 4
Chairman and Vice Chairman


4.1 The Chairman shall be appointed from a Founding Member country.

4.2 The Vice Chairman shall be elected from the Founding member country.

4.3 The term of chairman and vice chairman shall be two (2) years.

4.4 The responsibilities of the Chairman:
     4.4.1 Preside over the Federal Meeting according to Article 6;
     4.4.2 Represent the ASF in regional and international activities;
     4.4.3 Provide working plans and progress reports during the Federal Meeting; and
     4.4.4 Execute the resolutions from the Federal Meeting.

4.5 The responsibilities of the Vice Chairman:
     4.5.1 Assist the Chairman in carrying out the responsibilities in 4.4;
     4.5.2 Acting on behalf of the Chairman in his absence


ARTICLE 5
The Secretariat


5.1 The Secretariat shall be appointed from a Founding Member and shall be corresponded with the country of the
Chairman.

5.2 Responsibilities of the Secretariat:
     5.2.1 Co-ordinate to unify the input of members on issues affecting the Seafood industry and provide necessary
correspondences among members;
     5.2.2 Provide the secretariat and clerical support for organizing all the activities which fall under Chairmanship
responsibility;
     5.2.3 Arrange for the meeting according to Article 6 and execute and/or follow-up on the discussion/desires of
the meetings;
     5.2.4 Support and facilitate ASF’s undertaking; and
     5.2.5 Provides other assistance as directed by the Chairman.


ARTICLE 6
ASF Meetings


6.1 The ASF shall meet at least twice a year. Once in the country of the Chairman, unless the Founding Members
agree otherwise, and the other shall be made at the office of the ASEAN Secretariat in Jakarta. Additional meetings
can be arranged as and when necessary if agreed by majority votes of the Founding Members.

6.2 The Federal Meetings expenses, excluding air fare and hotel accommodation, shall be assumed by the hosting
Founding Member association.


ARTICLE 7
Financial Rules


7.1 The financial year shall run from 1st January to 31st December.

7.2 A revolving fund shall be set up to support the operation costs of the ASF. The details of the fund shall be agreed
upon by the Founding Members.

7.3 The Secretariat of the ASF shall be responsible for appointing auditors to the ASF and shall circulate to the Members
of the ASF an annual statement of accounts.

7.4 All Members shall pay the membership fee as per Annex.


ARTICLE 8
General Provisions


8.1 This Framework Agreement shall enter into force upon signature by all Founding Members and recognized by
ASEAN Secretary-General.

8.2 Any members may withdraw from the ASF by giving written notice of its intention to withdraw to the Secretariat,
and which withdrawal shall become effective ninety (90) days after receipt of such notice.

8.3 Founding Members of the ASF may propose to amend the Framework Agreement of the ASEAN Seafood Federation.
Notice of any amendments shall be circulated by the Secretariat to all members not less than thirty (30) days prior to the
meeting of the ASF.
